TERMS AND CONDITIONS CHHC Agricultural Products Wholesaling Website: https://www.chhcwholesales.com/ Effective Date: May 30, 2025 | Version 2.0 | Jurisdiction: Republic of the Philippines IMPORTANT NOTICE These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Buyer," "Client," or "User") and CHHC Agricultural Products Wholesaling ("Company," "We," "Our"). By placing any order, accessing our website at www.chhcwholesales.com, or engaging in any transaction with us, you acknowledge that you have read, understood, and agree to be fully bound by these Terms. If you do not agree to any provision herein, you must immediately cease all transactions and use of our services. SECTION 1 — DEFINITIONS AND INTERPRETATIONS For the purposes of these Terms and Conditions, the following definitions apply throughout the entirety of this document and all related agreements, purchase orders, delivery confirmations, and correspondence issued by or to CHHC Agricultural Products Wholesaling. "Company" — CHHC Agricultural Products Wholesaling, a duly registered business entity operating in the Philippines, accessible at www.chhcwholesales.com. "Buyer" / "Client" — Any individual, business entity, corporation, partnership, or institution that purchases or intends to purchase products from the Company. "Products" — All agricultural commodities, food products, rice varieties, flour types, grains, and related wholesale goods offered by the Company. "Order" — Any confirmed purchase request, purchase order, verbal agreement, written quotation accepted, or digital transaction initiated by the Buyer. "Website" — The official digital platform of the Company located at https://www.chhcwholesales.com/ and all its subpages and content. "Wholesale Price" — The bulk pricing tier applicable to qualifying orders meeting the Company's minimum order quantity (MOQ) requirements. "Delivery" — The physical transfer of Products from the Company's facility or designated warehouse to the Buyer's specified delivery address. "Force Majeure" — Any event beyond the Company's reasonable control, including natural disasters, government orders, supply chain disruptions, or acts of God. All singular terms include the plural and vice versa. References to persons include legal entities. Headings are for convenience only and shall not affect the interpretation of these Terms. SECTION 2 — ACCEPTANCE OF TERMS CHHC Agricultural Products Wholesaling operates as a premier wholesale supplier of premium agricultural commodities in the Philippines. These Terms govern every aspect of the commercial relationship between the Company and its Buyers, partners, and website users. By submitting a purchase order, signing a quotation, making a payment, or accessing and using the Website at www.chhcwholesales.com, you expressly accept and agree to be legally bound by all terms, conditions, policies, and notices contained or referenced herein. This acceptance is unconditional and irrevocable. Acceptance is binding on the Buyer regardless of whether these Terms have been explicitly signed. The act of placing an order — whether in person, via telephone, email, online platform, or through any representative — constitutes full and unconditional acceptance of these Terms. The Company reserves the absolute right, at its sole and exclusive discretion, to refuse service to any individual or entity for any lawful reason, including but not limited to failure to meet the Company's credit requirements, prior history of non-payment, misrepresentation of business identity, or breach of any prior agreement with the Company. Any terms and conditions proposed by the Buyer that differ from or add to these Terms are expressly rejected unless separately confirmed in writing by an authorized representative of CHHC Agricultural Products Wholesaling. SECTION 3 — PRODUCTS AND SERVICES CHHC Agricultural Products Wholesaling supplies a comprehensive range of premium agricultural food commodities to food businesses, retailers, restaurants, manufacturers, and institutional buyers across the Philippines and beyond. Our product portfolio includes, but is not limited to: 3.1 Jasmine Fragrance Rice — Premium long-grain aromatic rice, naturally fragrant, available in bulk wholesale quantities. Sourced from high-quality jasmine rice-growing regions and processed under strict milling standards to preserve authentic aroma and grain integrity. 3.2 All Purpose Wheat Flour — Commercial-grade, finely milled wheat flour suitable for baking, food manufacturing, and commercial kitchen applications. Consistent protein content and superior performance guaranteed in every batch. 3.3 Bulk Grain Commodities — A range of wholesale grains, cereals, and agricultural raw materials available to qualifying institutional and commercial buyers. 3.4 Additional Agricultural Products — Other food commodities as listed on the Company's official website at www.chhcwholesales.com, subject to seasonal availability and prevailing supply conditions. All product descriptions, specifications, weights, and quantities listed on the Company's website, catalogs, or quotations are provided in good faith and are accurate to the best of the Company's knowledge at the time of publication. However, the Company reserves the right to correct errors, update specifications, and modify product listings without prior notice. The Company does not guarantee that all products listed on the Website are available at all times. Product availability is subject to stock levels, harvest seasons, import/export conditions, and prevailing market supply. Buyers are encouraged to confirm product availability before committing to large-scale orders. All products supplied by CHHC Agricultural Products Wholesaling are intended for commercial and wholesale use. Products are sold in bulk quantities and are subject to the Company's minimum order quantity (MOQ) requirements, which vary by product type and are communicated at the time of quotation. SECTION 4 — ORDERS AND TRANSACTIONS All purchase orders submitted to CHHC Agricultural Products Wholesaling are subject to the following terms and procedures. No order shall be deemed confirmed or binding on the Company until a formal Order Confirmation has been issued by an authorized representative of the Company. Order Placement 4.1 Orders may be placed through the Company's official website at www.chhcwholesales.com, via authorized sales representatives, email, or other official communication channels designated by the Company. 4.2 The Buyer is responsible for the accuracy and completeness of all information provided in a purchase order, including product specifications, quantities, delivery address, and contact details. The Company shall not be liable for any loss or delay arising from incorrect or incomplete order information. 4.3 The Company reserves the right to impose minimum order quantities (MOQs) for all products. Orders that do not meet the prescribed MOQ may be declined, subject to pricing adjustments, or fulfilled at the Company's discretion. Order Confirmation and Cancellation 4.4 An Order Confirmation issued by the Company constitutes a binding contract for the supply of the specified products at the agreed price and quantity. The Buyer is obligated to accept and pay for all confirmed orders. 4.5 Order cancellation after issuance of Order Confirmation is subject to the Company's approval. The Company reserves the right to charge a cancellation fee of up to twenty percent (20%) of the total order value, plus any costs already incurred in fulfilling the order, including procurement, processing, and packaging costs. 4.6 The Company reserves the right to cancel or decline any order, in whole or in part, without liability, in the event of product unavailability, pricing errors, suspected fraudulent activity, failure to meet credit requirements, or Force Majeure events. No Chargeback Policy — The Company strictly prohibits unauthorized chargebacks or payment disputes for confirmed and fulfilled orders. Any Buyer initiating an unjustified chargeback will be immediately blacklisted and pursued for the full amount owed plus all associated legal and collection costs. SECTION 5 — PRICING AND PAYMENT All prices quoted by CHHC Agricultural Products Wholesaling are in Philippine Peso (PHP) unless otherwise stated in writing. Prices are subject to change without prior notice due to market fluctuations, commodity price changes, currency movements, and prevailing agricultural market conditions in the Philippines and global markets. 5.1 Quoted prices are valid for the period specified in the quotation. Quotations that do not specify a validity period shall remain valid for a maximum of five (5) business days from the date of issuance, after which the Company reserves the right to revise pricing. 5.2 All applicable taxes, including but not limited to Value Added Tax (VAT) as required under Philippine law, shall be applied to invoices unless the Buyer provides valid documentary proof of VAT exemption. 5.3 Payment terms are as specified in the Order Confirmation or Invoice. Default payment terms for new accounts require full payment prior to release of goods. Credit terms may be extended at the Company's sole discretion to qualified, established Buyers with a satisfactory payment history. 5.4 Accepted payment methods include bank transfer, over-the-counter bank deposit, and other methods confirmed in writing by the Company. The Buyer is responsible for all bank transfer fees and charges. Payment is deemed received only upon actual credit to the Company's account. 5.5 Overdue payments shall accrue interest at a rate of two percent (2%) per month on the outstanding balance, compounded monthly, from the due date until full payment is received. The Company reserves the right to suspend all active orders and withhold future deliveries for any Buyer with outstanding overdue balances. 5.6 The Company reserves the right to apply partial payments first to outstanding interest and charges before applying the remainder to the principal amount owed. Collection Policy — Buyers who default on payment obligations shall be responsible for all collection costs incurred by the Company, including attorney's fees, litigation costs, and debt collection agency fees. The Company reserves the right to report defaulting Buyers to relevant credit bureaus and business registries. SECTION 6 — DELIVERY AND LOGISTICS The Company will use commercially reasonable efforts to deliver products within the estimated delivery timeframes communicated at the time of order confirmation. However, all delivery timelines are estimates only and are not guaranteed. 6.1 Risk of loss and damage to the Products transfers to the Buyer upon delivery to the Buyer's designated delivery address or, where applicable, upon pick-up by the Buyer or the Buyer's designated freight forwarder from the Company's premises. 6.2 The Buyer is responsible for ensuring that a duly authorized representative is present at the delivery address to receive and inspect the goods. Failure to receive goods at the scheduled delivery time may result in re-delivery charges and storage fees. 6.3 Delivery charges, freight costs, and logistics fees are the responsibility of the Buyer unless otherwise expressly stated in the Order Confirmation. Applicable delivery fees will be communicated to the Buyer at the time of quotation. 6.4 The Company shall not be liable for any delay in delivery caused by Force Majeure events, road conditions, third-party logistics failures, government-imposed restrictions, natural disasters, or events beyond the Company's reasonable control. 6.5 Upon receipt of goods, the Buyer must immediately inspect all delivered products for quantity discrepancies, visible damage, and packaging integrity. Any claims regarding short delivery or visible damage must be reported to the Company in writing within twenty-four (24) hours of delivery. Claims not made within this period will not be accepted. 6.6 Partial deliveries may be made at the Company's discretion where full order quantity is not available. The Buyer shall not be entitled to cancel the remaining order solely on the basis of a partial delivery. SECTION 7 — QUALITY ASSURANCE AND STANDARDS CHHC Agricultural Products Wholesaling is committed to delivering agricultural products of the highest commercial quality. Our quality assurance processes are designed to meet and exceed applicable Philippine food safety standards and regulatory requirements. 7.1 All products supplied by the Company are processed and stored in compliance with applicable Philippine food safety regulations, including standards set by the Food and Drug Administration (FDA Philippines), Bureau of Plant Industry (BPI), and National Food Authority (NFA) where applicable. 7.2 Product quality parameters — including moisture content, grain integrity, aroma profile, protein content, and milling grade — are maintained within the specifications stated in the Company's product catalog and quotation documents. 7.3 Quality complaints arising from product defects that are attributable to the Company must be supported by photographic evidence, batch/lot numbers, and a written claim submitted to the Company within forty-eight (48) hours of receiving the goods. The Company reserves the right to independently verify all quality complaints before issuing any remedy. 7.4 The Company shall not be liable for quality degradation caused by improper storage, handling, or use of the products after delivery. The Buyer bears full responsibility for maintaining appropriate storage conditions for all purchased products. SECTION 8 — RETURNS AND REFUND POLICY Due to the perishable and consumable nature of agricultural food commodities, CHHC Agricultural Products Wholesaling operates a strict returns and refund policy. Returns are only accepted under the specific and limited circumstances described below. 8.1 Returns will be accepted solely for products that are demonstrably defective at the time of delivery, delivered in the wrong product type or grade, or delivered in quantities materially different from the confirmed order — provided that such discrepancy is reported within the stipulated claim period. 8.2 Returns are not accepted for products that have been opened, used, stored improperly, or subjected to conditions inconsistent with proper storage guidelines for agricultural food commodities. 8.3 All approved returns must be authorized by the Company in writing prior to the return shipment. Unauthorized returns will not be accepted and will be returned to the Buyer at the Buyer's expense. 8.4 Approved refunds will be processed within fifteen (15) business days of the Company's written confirmation of the approved return and receipt of the returned goods in satisfactory condition. Refunds will be issued via the same payment method used for the original transaction or via bank transfer at the Company's discretion. 8.5 The Company reserves the right to offer product replacement in lieu of monetary refund for approved quality claims, at the Company's sole discretion. SECTION 9 — WARRANTIES AND DISCLAIMERS The Company warrants that all products supplied shall conform to the specifications stated in the agreed quotation or Order Confirmation at the time of delivery. This warranty is limited to the product specifications and does not extend beyond the agreed scope. 9.1 Limited Warranty — The Company warrants that its products are free from material defects in processing and packaging at the time of delivery. This warranty does not cover damage caused by mishandling, improper storage, contamination after delivery, or acts of third parties. 9.2 Disclaimer of Implied Warranties — To the maximum extent permitted by Philippine law, the Company disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such warranties cannot be lawfully excluded. 9.3 Website Disclaimer — The Website at www.chhcwholesales.com is provided on an "as is" basis. The Company does not warrant that the Website will be continuously available, error-free, or free from viruses or other harmful components. 9.4 No Guarantee of Outcomes — The Company makes no representations or warranties regarding the commercial outcomes or profitability the Buyer may achieve from reselling or using the Company's products. Business results depend on factors entirely within the Buyer's control. SECTION 10 — LIMITATION OF LIABILITY AND INDEMNIFICATION The total aggregate liability of CHHC Agricultural Products Wholesaling to any Buyer or third party, for any and all claims arising out of or related to these Terms or any transaction with the Company, shall in no event exceed the total value of the specific order giving rise to the claim. 10.1 Under no circumstances shall the Company be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, or any other economic loss, even if the Company has been advised of the possibility of such damages. 10.2 The Company shall not be liable for any loss, damage, or liability arising from the Buyer's non-compliance with applicable laws and regulations in the Buyer's jurisdiction, including food labeling laws, import regulations, and resale licensing requirements. 10.3 Indemnification — The Buyer agrees to indemnify, defend, and hold harmless CHHC Agricultural Products Wholesaling, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) the Buyer's breach of these Terms; (b) the Buyer's misuse or improper handling of the Company's products; (c) any third-party claims arising from the Buyer's resale or distribution of the products; or (d) the Buyer's violation of any applicable law or regulation. The Buyer is solely responsible for ensuring that all purchased products comply with local health, safety, food regulatory, and import/export requirements applicable in the Buyer's territory. The Company shall bear no liability for regulatory non-compliance arising from the Buyer's activities. SECTION 11 — INTELLECTUAL PROPERTY RIGHTS All intellectual property rights in and to the Website, brand name, logo, trademarks, product names, marketing materials, photographs, and all content published by CHHC Agricultural Products Wholesaling are and shall remain the exclusive property of the Company or its licensors. 11.1 The Buyer is granted no license, right, or interest in the Company's intellectual property by virtue of purchasing products or accessing the Website, except a limited, non-exclusive, non-transferable right to access the Website for the purpose of conducting legitimate business with the Company. 11.2 The Buyer shall not use the Company's brand name, logo, trademarks, or any intellectual property in any marketing, advertising, or promotional material without prior written consent from the Company. 11.3 Unauthorized reproduction, copying, scraping, or distribution of any content from the Company's Website or materials is strictly prohibited and will be pursued to the fullest extent of Philippine intellectual property law. SECTION 12 — PRIVACY AND DATA PROTECTION CHHC Agricultural Products Wholesaling is committed to protecting the personal and business information of its Buyers and Website users in accordance with Republic Act No. 10173, otherwise known as the Data Privacy Act of 2012 of the Philippines. 12.1 Personal and business data collected through transactions or Website interactions is used solely for the purposes of order fulfillment, account management, customer service, billing, and communication of relevant product and service updates. 12.2 The Company will not sell, rent, or lease Buyer data to unauthorized third parties. Data may be shared with logistics partners, payment processors, and regulatory authorities only to the extent necessary for legitimate business operations. 12.3 Buyers have the right to access, correct, and request deletion of their personal data held by the Company, subject to the Company's legal record-keeping obligations. Requests may be submitted in writing to the Company's official contact address. 12.4 By transacting with the Company or using the Website, the Buyer consents to the collection and processing of their data as described herein and in the Company's Privacy Policy available at www.chhcwholesales.com. SECTION 13 — PROHIBITED CONDUCT The following acts and conduct are strictly prohibited and constitute a material breach of these Terms, which may result in immediate account termination, blacklisting, and legal action: 13.1 Submitting fraudulent orders, purchase orders, or payment documents with intent to deceive or defraud the Company. 13.2 Misrepresenting the nature, size, or legal status of one's business to obtain unauthorized wholesale pricing, credit terms, or volume discounts. 13.3 Tampering with, adulterating, or re-labeling Company products in a manner that could mislead consumers or violate food safety regulations. 13.4 Using the Company's Website for any unlawful purpose, including unauthorized data scraping, hacking, or the introduction of malicious code, malware, or disruptive programs. 13.5 Engaging in defamatory conduct, spreading false or misleading information about the Company, its products, or its personnel through any channel including social media, online forums, or trade publications. 13.6 Attempting to circumvent the Company's pricing, ordering, or payment systems through any means, including the use of proxy buyers, fictitious entities, or unauthorized intermediaries. SECTION 14 — TERMINATION OF BUSINESS RELATIONSHIP The Company reserves the right to immediately and unilaterally terminate any commercial relationship with a Buyer, without prior notice, in the following circumstances: 14.1 Material breach of any provision of these Terms and Conditions by the Buyer. 14.2 Non-payment or repeated late payment of any invoice or outstanding balance. 14.3 Engagement in any prohibited conduct as defined in Section 13 of these Terms. 14.4 Insolvency, bankruptcy, voluntary or involuntary liquidation, or appointment of a receiver or administrator over the Buyer's assets or business. 14.5 Commission of any fraudulent, deceptive, or criminal act in connection with the Buyer's transactions with the Company. Termination shall not affect any accrued rights or obligations of either party arising prior to the date of termination. Upon termination, all outstanding balances owed by the Buyer shall become immediately due and payable in full. SECTION 15 — GOVERNING LAW AND DISPUTE RESOLUTION These Terms and Conditions, and all transactions, agreements, and relationships arising from or in connection with them, shall be exclusively governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles. 15.1 Amicable Settlement — In the event of any dispute, controversy, or claim arising out of or relating to these Terms or any transaction with the Company, the parties shall first attempt to resolve the matter amicably through good-faith negotiations within thirty (30) days of the dispute being raised in writing. 15.2 Jurisdiction — If the dispute cannot be resolved amicably, the exclusive jurisdiction and venue for all legal proceedings shall be the appropriate courts of the Republic of the Philippines, in the city or municipality where the Company's principal place of business is registered. The Buyer irrevocably submits to the jurisdiction of such courts. 15.3 Attorney's Fees — In any legal action to enforce these Terms, the prevailing party shall be entitled to recover all reasonable attorney's fees, litigation costs, and expenses from the non-prevailing party. SECTION 16 — AMENDMENTS AND UPDATES CHHC Agricultural Products Wholesaling reserves the absolute right to amend, update, revise, or replace these Terms and Conditions at any time, at its sole and exclusive discretion, without prior notice to Buyers or Website users. 16.1 Amended Terms shall become effective immediately upon publication on the Company's Website at www.chhcwholesales.com. The date of the most recent revision will be indicated at the top of the Terms document. 16.2 Continued use of the Website or placement of orders following the publication of amended Terms constitutes the Buyer's full and unconditional acceptance of the revised Terms in their entirety. 16.3 It is the sole responsibility of the Buyer to periodically review these Terms for any changes. The Company is not obligated to provide individual notice of amendments to existing Buyers. 16.4 If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the original intent of the parties.
